Modern Day Talent - Terms and conditions
These terms and conditions apply to the provision of information by us, Modern Day Talent Limited (MDT, we, us, our), to your organisation (you, your) which identifies an individual (Proposed Resource) who may be suitable to fulfil a requirement (Requirement) you have discussed with us (Introduction).
We confirm that we will keep all confidential information provided to us by you confidential and we will only use such information for the purpose of searching for Proposed Resources.
We confirm that we have the agreement of the Proposed Resource to provide you with their name and other details (Resource Details). You agree to: (a) keep the Resource Details confidential; (b) not disclose the Resource Details to any other person; (c) not use the Resource Details for any purpose other than to consider the suitability of the Proposed Resource for your Requirement; (d) destroy or permanently erase (to the extent legally and practically possible) the Resource Details.
If you Engage a Proposed Resource following the Introduction of a Proposed Resource by MDT to you within a period of 12 months after the Introduction without our written consent, you shall pay to us an introduction fee equal to 50% of the fees that would have been paid to us by you in respect of that Proposed Resource had we supplied them to you for a 12 month period.
Engage means the employment of a Proposed Resource or engagement directly or indirectly through any supplier other than through MDT (whether for a definite or indefinite period) as a direct result of any Introduction to you.
Where you and we have signed an agreement covering the provision of dedicated resources to you, that agreement shall take precedence over these terms and conditions.
